Public Offer for Consulting Services

Effective from May 6, 2026 · Republic of Kazakhstan

1. General Provisions

This document constitutes a public offer by 4V Partners LLP (hereinafter — the "Contractor") addressed to any individual or legal entity (hereinafter — the "Customer") wishing to use consulting services on the terms set out below.

Unconditional acceptance of this offer is effected by signing a separate agreement (a contract, an addendum, or an invoice-offer) and/or by making payment to the Contractor's bank details in accordance with the agreed terms.

Terms and Definitions

• Website — the internet resource located at 4vpartners.com and its subdomains.
• Services — consulting services in the area of strategy, sales, marketing and the development of commercial systems, provided by the Contractor.
• Request — an enquiry submitted by the Customer through contact forms, messaging applications or email for the purpose of obtaining information about the Services.
• Agreement — a separate document (contract, addendum, invoice-offer or other form) recording the specific terms on which the Services are provided to a particular Customer.

2. Subject of the Offer

The Contractor offers the Customer the following types of consulting services:

• Strategic and express audit of the commercial function (sales and marketing departments)
• Development of sales department strategy and architecture
• Turnkey build-out and support of sales departments
• Recruitment, training and motivation of commercial personnel
• Implementation of CRM systems and AI-driven sales analytics tools
• Lead generation and customer acquisition
• Cold sales, appointment setting, and database management
• Development of scripts, presentations, commercial proposals and other sales tools

All Services are individual in nature. The specific scope, timeline, cost and format of the Services are agreed by the Parties in the Agreement.

3. Procedure for Concluding the Contract

Submission of a Request through the Website, messaging applications or email does not automatically constitute the conclusion of a contract and creates no obligation on the part of the Contractor to provide the Services.

The contract is deemed concluded after:

• Agreement of the scope, timeline and cost of the Services following preliminary negotiations
• Signing by the Parties of a separate Agreement (contract, addendum or invoice-offer)
• Receipt by the Contractor of payment in accordance with the terms of the Agreement, where the Parties have established such procedure

Prior to signing the Agreement, the Contractor is entitled to hold a free introductory meeting with the Customer (hereinafter — the "commercial review") for the purpose of clarifying the task and assessing the feasibility of providing the Services.

4. Cost of Services and Payment Procedure

The cost of the Services is determined on a case-by-case basis and depends on the scope, timeline and complexity of the task.

The prices indicated on the Website (in the "from" format in US dollars, tenge or Russian roubles) are indicative only and do not constitute a public offer within the meaning of Article 395 of the Civil Code of the Republic of Kazakhstan.

The final cost, settlement currency, and procedure and timing of payment are recorded in the Agreement. Standard payment formats are:

• Full prepayment for the express audit
• 50% advance payment + 50% upon completion for strategy projects
• Monthly retainer payment at the start of the billing period

The specific payment procedure is agreed with the Customer and recorded in the Agreement.

5. Rights and Obligations of the Parties

The Contractor undertakes to

• Provide the Services in the scope, timeline and quality agreed in the Agreement
• Maintain the confidentiality of information received from the Customer
• Inform the Customer of the progress of the work and any material changes
• Return materials received or destroy them at the Customer's request upon completion of the work

The Customer undertakes to

• Provide the Contractor with accurate information necessary for the provision of the Services
• Approve interim deliverables and provide feedback in a timely manner
• Make payments in the manner and within the timeframes set out in the Agreement
• Refrain from using the Contractor's materials and intellectual property in violation of Section 7 of this offer

6. Confidentiality

The Parties undertake to maintain the confidentiality of any information that becomes known to them in the course of the provision of the Services, including: commercial data, financial indicators, client databases, business processes, strategic plans and other non-public information.

At the Customer's request, the Parties shall enter into a separate non-disclosure agreement (NDA).

The confidentiality obligation shall remain in force for a period of 3 (three) years after termination of the Agreement, unless otherwise stipulated in the NDA.

7. Intellectual Property

All materials, methodologies, templates, documents and other results of intellectual activity published on the Website are the property of the Contractor.

Materials developed by the Contractor for the Customer under a specific Agreement (strategy, scripts, regulations, etc.) are transferred for use by the Customer on the terms recorded in the Agreement.

The use, copying and distribution of Website materials or work deliverables to third parties without the Contractor's written consent is not permitted.

8. Liability of the Parties

The Contractor provides consulting services and does not guarantee that the Customer will achieve any specific business results (revenue growth, conversion rates, profit, etc.), as these depend on numerous factors on the Customer's side — the actions of the team, market conditions, operational discipline and other circumstances beyond the Contractor's control.

The Contractor's liability is limited to the value of the Services rendered under the Agreement.

The Contractor shall not be liable for decisions taken by the Customer on the basis of the consultations, nor for any losses incurred by the Customer as a result of such decisions.

9. Force Majeure

The Parties shall be released from liability for partial or complete non-performance of obligations if such non-performance is the result of force majeure circumstances: natural disasters, military action, pandemics, acts of state authorities, internet outages and other circumstances beyond the reasonable control of the Parties.

The Party affected by force majeure circumstances shall notify the other Party within 7 (seven) calendar days.

10. Term and Termination

The Agreement shall remain in force for the term agreed by the Parties. If no term is specified, the Agreement shall remain in force until the Parties have fully performed their obligations.

The Agreement may be terminated:

• By mutual agreement of the Parties at any time
• Unilaterally by either Party with written notice to the other Party of no less than 14 (fourteen) calendar days
• In the event of a material breach of the terms of the Agreement by either Party

Upon termination, a settlement is made for Services actually rendered.

11. Dispute Resolution

All disputes and disagreements arising in connection with this offer and the Agreement shall be resolved by the Parties through negotiations.

Should the dispute not be resolved through negotiations, it shall be referred to the court at the Contractor's place of registration.

The applicable law is the law of the Republic of Kazakhstan.

12. Processing of Personal Data

By completing any form on the Website (request, contact form, consultation booking form) and ticking the corresponding consent box, the Customer confirms that they:

• Have read the Privacy Policy and the terms of this offer
• Give voluntary consent to the processing of their Personal Data by the Contractor in accordance with the Law of the Republic of Kazakhstan "On Personal Data and Their Protection"
• Consent to the storage of data in the Bitrix24 CRM system used by the Contractor

The following categories of data are processed: name, telephone number, email, company name, and other information voluntarily provided by the Customer in form fields or during communications.

Purposes of processing: communication with the Customer, scheduling consultations, preparation of commercial proposals, performance of the Agreement, and providing information about the Contractor's services.

The Customer may at any time withdraw their consent by sending a request to info@4vpartners.com marked "Withdrawal of consent to processing of personal data". In such case the Contractor shall cease processing and delete the data within 10 (ten) working days, save for data which the Contractor is required to retain under the legislation of the Republic of Kazakhstan.

13. Final Provisions

The Contractor reserves the right to amend this offer unilaterally. Amendments enter into force from the moment the new version is published on the Website.

Matters not regulated by this offer shall be governed by the applicable legislation of the Republic of Kazakhstan.
